Please read these Terms of Use ("Terms") carefully before using the Karin Shoup Art website (the "Site") located at karinshoup.art (or any successor URL). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site.
These Terms apply to all visitors, browsers, customers, and others who access or use the Site.
1. Acceptance of Terms
By using this Site, you represent that you are at least 18 years of age (or the age of majority in your jurisdiction, if higher), have read and understood these Terms, and agree to be legally bound by them. If you are accessing the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. About the Site
The Karin Shoup Art website is an online platform created to showcase and sell original artwork, prints, and related creative works by artist Karin Shoup. The Site is currently in a display phase and will expand to include full e-commerce capabilities, allowing visitors to purchase artwork directly online.
3. Intellectual Property
3.1 Ownership
All artwork, photographs, images, text, graphics, logos, designs, and other content displayed on this Site (collectively, "Content") are the intellectual property of Karin Shoup or licensed to her, and are protected by applicable copyright, trademark, and other intellectual property laws of the United States and international treaties.
3.2 Permitted Use
You may view and browse the Site for personal, non-commercial informational purposes only. The following uses are permitted:
• Viewing images of artwork displayed on the Site
• Sharing links to the Site on social media or other platforms
• Printing or saving single copies of artwork images solely for personal, non-commercial reference
3.3 Prohibited Use
Without prior written permission from Karin Shoup, you may not:
• Reproduce, copy, publish, distribute, transmit, or sell any Content from the Site
• Use any Content for commercial purposes, including in advertising, merchandise, or derivative works
• Modify, alter, or create derivative works based on any Content
• Remove or alter any copyright, trademark, or proprietary rights notices
• Use any Content in a manner that misrepresents its authorship or origin
• Use automated tools (bots, scrapers, spiders) to access, copy, or index the Site or its Content

4. E-Commerce and Purchases
4.1 Current Status
The Site is currently in a display-only phase. E-commerce functionality, including the ability to purchase artwork directly through the Site, is forthcoming. When e-commerce features become available, additional purchase-specific terms and conditions will be presented at checkout and will supplement these Terms.
4.2 Future Purchase Terms
When purchasing capabilities are activated, the following general terms will apply (and will be confirmed and expanded at checkout):
• All sales are final unless otherwise specified in a product-specific return policy
• Prices are listed in U.S. dollars and are subject to change without notice
• Payment processing will be handled by third-party providers (e.g., Stripe, PayPal). Karin Shoup Art does not store your payment card information
• Applicable sales taxes will be calculated and collected based on your shipping address and applicable law
• Shipping costs, estimated delivery times, and handling details will be presented at checkout
• Risk of loss and title for purchased items passes to you upon delivery to the carrier
• For original works, each piece is one-of-a-kind. Confirmation of purchase constitutes a binding agreement of sale
4.3 Pricing
While we make every effort to ensure pricing accuracy, we reserve the right to cancel or decline any order containing a pricing error. In the event of a pricing discrepancy, we will contact you prior to processing payment.
5. User Conduct
You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of others or restrict or inhibit their use and enjoyment of the Site. You agree not to:
• Violate any applicable local, state, national, or international law or regulation
• Engage in any conduct that is harassing, threatening, defamatory, or otherwise objectionable
• Transmit or upload any malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to any portion of the Site or its related systems
• Interfere with the proper working of the Site
• Impersonate any person or entity or falsely represent your affiliation with any person or entity

8. Disclaimer of Warranties
THE SITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
Karin Shoup Art does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components; that defects will be corrected; or that the Site or the server that makes it available are free of viruses or other harmful components.
While we make reasonable efforts to ensure that artwork descriptions, dimensions, and photographs accurately represent each piece, color renditions may vary depending on your monitor settings, and actual artwork may differ slightly from digital representations.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KARIN SHOUP ART, ITS OWNER, AFFILIATES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE OR ITS CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL THE AGGREGATE LIABILITY OF KARIN SHOUP ART EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU PAID TO KARIN SHOUP ART IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to defend, indemnify, and hold harmless Karin Shoup Art and its owner from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.
11. Digital Millennium Copyright Act (DMCA)
If you believe that any content on the Site infringes your copyright, please send a written notice to the contact address below with the following information:
• A description of the copyrighted work claimed to have been infringed
• A description of where the infringing material is located on the Site
• Your contact information (name, address, telephone number, email)
• A statement that you have a good faith belief that the disputed use is not authorized
• A statement, made under penalty of perjury, that the above information is accurate and that you are the copyright owner or authorized to act on the owner's behalf
• Your physical or electronic signature
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California and applicable federal law, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or your use of the Site shall first be attempted to be resolved through good-faith negotiation. If a dispute cannot be resolved through negotiation within thirty (30) days, the parties agree to submit to binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Orange County, California. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the Effective Date at the top of this page. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
14. Termination
We reserve the right to terminate or suspend your access to the Site at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or for any other reason. Upon termination, your right to use the Site will immediately cease.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it will be severed from these Terms. The remaining provisions will continue in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy and any additional terms presented at the time of purchase, constitute the entire agreement between you and Karin Shoup Art with respect to your use of the Site, and supersede all prior or contemporaneous communications and proposals, whether oral or written.
